1. Introduction
Welcome to HiPUBLIC. By accessing or using our website and services at hipublic.com, you agree to be bound by these Terms of Service. Please read them carefully before using our platform. If you do not agree with any part of these terms, you may not use our services.
2. Services
HiPUBLIC is a global influencer marketing agency that provides the following services:
- Influencer Strategy — market research, KPI frameworks, and campaign planning
- Performance Analytics — real-time dashboards, attribution modeling, and ROI reporting
- Brand Campaigns — end-to-end campaign management across multiple platforms
- Influencer Matching — vetting, fraud detection, and partnership management
- Cabinet Access — a client portal for campaign tracking and reporting
3. Eligibility
To use our services, you must be at least 18 years of age and have the legal authority to enter into binding agreements on behalf of yourself or your organisation. By registering or submitting a contact form, you confirm that all information provided is accurate, current, and complete.
4. Client Obligations
As a client of HiPUBLIC, you agree to:
- Provide accurate campaign briefs, brand guidelines, and required materials in a timely manner
- Review and approve content within agreed timelines to avoid campaign delays
- Comply with all applicable laws, advertising standards, and platform policies
- Not engage directly with HiPUBLIC influencer partners outside of agreed campaigns without written consent
5. Intellectual Property
All content, trademarks, logos, and materials produced by HiPUBLIC remain the intellectual property of HiPUBLIC unless explicitly transferred in a separate written agreement. Campaign content created by influencers is licensed to the client for agreed usage periods and platforms only. Unauthorised reproduction, redistribution, or repurposing of content is prohibited.
6. Payment Terms
Payment terms are outlined in individual service agreements and invoices. Unless otherwise agreed:
- A deposit of 50% is required before campaign commencement
- Remaining balance is due within 14 days of campaign completion
- Late payments may incur interest at 1.5% per month on the outstanding balance
7. Confidentiality
Both parties agree to keep confidential any proprietary information, campaign strategies, pricing, and data shared during the engagement. This obligation survives termination of any service agreement for a period of two (2) years.
8. Limitation of Liability
HiPUBLIC is not liable for indirect, incidental, or consequential damages arising from the use of our services, including but not limited to lost revenue, lost data, or reputational damage. Our total liability under any service agreement shall not exceed the fees paid by the client in the three (3) months preceding the claim.
We do not guarantee specific campaign outcomes, engagement rates, or conversion results, as these depend on factors outside our direct control including platform algorithm changes, audience behaviour, and market conditions.
9. Termination
Either party may terminate a service agreement with 14 days’ written notice. In the event of termination:
- Work completed to date will be invoiced at a pro-rata rate
- Live campaigns will be completed unless both parties agree otherwise
- Deposits are non-refundable once campaign production has commenced
10. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of Ukraine. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Kyiv, Ukraine, unless otherwise agreed in writing.
11. Changes to These Terms
HiPUBLIC reserves the right to update these Terms of Service at any time. Changes will be published on this page with an updated effective date. Continued use of our services after changes are posted constitutes your acceptance of the revised terms.
